1 INTRODUCTION

Thank you for selecting 24hoursalesplatform.com (referred to as "Site", "24hoursalesplatform.com", "World Trade Exchange", "WTE", "World Trade Exchange LLC", "we", "our", or "us"), owned and operated by World Trade Exchange LLC. Please read these Terms of Use ("Terms") carefully. The Terms are a legal agreement between you and us in relation to your use of the Site and its associated services such as trade transactions and use of Trade Credits (the "Agreement")..

2 USE CONSTITUTES ACCEPTANCE

By accessing the Site or registering as a user or using any of our services, you may not use the Site or services and should leave this Site immediately.

3 SCOPE

These Terms governyour use of the Site and its associated and services including trade and other transactions, ratings, comments, chat, all communications, content, updates and new releases, (collectively, the "Services"). It includes by reference the Site’s Privacy Policy, the rules and policies set forth on the FAQ page at http://24hoursalesplatform.com/?page_id=12 and the World Trade Exchange Solutions Guide. All of the Site and Services are within the scope of this Agreement.

4 OUR RELATIONSHIP WITH YOU

World Trade Exchange helps members make and accept payments and facilitates exchanges. We are an independent contractor for all purposes, and are NOT your agent or trustee. We do NOT have control of, or liability for, the products or services that are exchanged between members. We do NOT guarantee the identity of any member or ensure that a buyer or a seller will complete any Exchange transaction. Our role is STRICTLY LIMITED to that of a facilitator and third-party record-keeper. We are NOT to be considered a seller of any goods or services on the Site unless expressly stated otherwise by World Trade Exchange and we do NOT endorse, promoteor representthe truthfulness or accuracy of any statement made on the Site.

5 PROTECTION OF MINORS

You must be 13 years or older to access the Site and must be 18 years or older to register as a member or to chat, transact or post any content. In cases where you have authorized a minor (someone under 18 years of age) to use the Site or Services (which you should NOT do), you acknowledge and agree that you are fully responsible for: (i) the online conduct of such minor; (ii) controlling the minor's access to and use of the Site or Services; and (iii) the consequences of any use or misuse by the minor.

6 USE THIS SITE FOR TRADING AND INFORMATION PURPOSES ONLY

No communications other than for enquiry relating to a product or service listed on the Site shall be permitted within the Site. This includes the harvesting of email addresses.

7 NO DUTY TO MONITOR

You agree that we are not liable for content that is provided by others. We have no duty to screen content that you may supply or post, but we have the right to refuse to post or to edit submitted content. We reserve the right to remove any content for any reason at any time.

8 CHANGES TO WORLD TRADE EXCHANGE

We may discontinue or change anyWorld Trade Exchange content, service, function or feature at any time with or without notice.

9 REGISTRATION

You promise that all registration information you provide will be accurate, complete and current. You must inform us as soon as you can if your information requires updating.Please read our Privacy Policy which applies to any registration information we collect.

10 NAMES

If you wish to transact or post content, for example ratings or comments, or chat on the Site you will need to use a name. You can select any username you like, except that your username cannot be an impersonation of another person, a term that is the same or confusingly similar to a famous trademark, or a term that is offensive in any way. You may, but are not obligated to, use your own name. If you do use your own name, you consent to it being passed to others by use of certain of the functions of Site. World Trade Exchange reserves the right to reject or remove any username.

11 ACCOUNT AND PASSWORD SECURITY

If you register as a user with the Site you will be asked to choose a password. You must comply with the content rules set out in these Terms including but not limited to the following:
  • You must not use your account in connection with the impersonation of any person.
  • You must keep your password confidential.
  • You must notify us immediately if you become aware of any disclosure of your password.
  • You are responsible for any activity on the Site arising out of any failure to keep your password confidential, and may be held liable for any damages or losses arising out of such a failure.

We are entitled to assume that anyone who accesses your account or service using your password does so by your authority. You are solely responsible for determining whether the security provided by us and our suppliers is sufficient for your purposes. If you do not agree the security is sufficient it is your responsibility to either implement your own additional security or not use the Site. Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst we strive to protect such information, we do not warrant and cannot ensure the security of any information which you transmit to us. Accordingly, any information which you transmit to us is transmitted at your own risk. Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information.

12 SELLER OBLIGATIONS

As a seller you warrant you will not list on or sell the following:
  • Illegal or illicit goods
  • Cash
  • Cash Vouchers
  • Products or services that are prohibited by applicable laws (including but not limited to goods that infringe intellectual property laws, in particular the trademark and copyright laws, and/or the intellectual property rights of a third party)
  • Offensive goods (including goods of a defamatory or ethnically objectionable nature)
  • Tickets to events where the sale of such a ticket may contravene scalping laws
  • Stolen goods
  • Goods which have been illegally imported
  • Goods which require or involve an illegal import or export in order to complete the transaction
  • Animals and Wildlife
  • Replica and Counterfeit Items
  • Stocks and Securities
  • Any item which in the reasonable opinion of World Trade Exchange would be offensive, including but not limited to, racist and sexist material.
As a seller you hereby warrant that all goods listed will be unencumbered and free from any third party claim or interests which may prejudice the ownership rights or interests of a buyer. You hereby indemnify us against any liability to any third party whatsoever and howsoever arising out of the sale or listing of goods or services by you through World Trade Exchange whether arising in contract, tort or legislation. It is your responsibility to ensure and you hereby warrant to us and the buyer that:
  • Goods being offered for sale are accurately described (including any faults, defects etc.)
  • All relevant and material information concerning the goods being offered for sale is contained in the listing
  • The goods are in your possession
  • You have undisputed ownership at the time of placing the listing; and
  • You have not and will not list the same item that you have listed on this Site in any other medium whilst your listing is current on this Site.
You as a seller warrant you will abide by the choices you make when setting conditions for the sale and will exercise appropriate care before selecting submitting a listing. The shipping conditions you set are an irrevocable offer made by you and cannot be repudiated.

13 SELLERS FURTHER OBLIGATIONS

You further agree and acknowledge:
  • You will only list a product with a sale price that represents a fair price that equates to the normal selling price or below for that item after having regard to the principle that one unit of the relevant trade currency equals one unit of the relevant country currency.
  • Sale prices deemed to be excessive by World Trade Exchange may be removed at our discretion.
  • By listing an item, you are making an irrevocable offer to sell at your stated price.
  • You accept full responsibility for incorrect or inaccurate listings or for inappropriate listing categorization. (For example, motor vehicle listings must be placed within one of the Automotive Categories available.)
  • If you choose to list adult or mature audience products please be aware they must be listed under an appropriate Adult Category. We reserve the right to censor such products or remove them.
  • You may be liable to a buyer who has acted in good faith and purchased an item in circumstances where you as seller may have these rules by listing and/or selling the item for sale elsewhere.
  • You agree not to re-list or sell an item until notified that any outstanding sales have been accepted or declined.
  • You agree not to place multiple listings for the same item if only one item is available.
  • Once there has been a purchase transaction, it is your responsibility to directly contact the buyer immediately after the confirmed purchase to organize to collection of the goods within thirty (30) days nationally, and forty-five (45) days internationally. You will be deemed to have received the notification from the time that the notification is registered as having been sent to you by the World Trade Exchange system.
  • It is the seller’s responsibility to ensure the goods are packaged appropriately and that dispatch documentation is retained for at least six (6) months. Please note the limitation of actions for bringing prosecution is normally seven (7) years, therefore you may wish to keep all documentation at least this long.
  • If, as the seller, you have not had contact regarding the pickup or collection of the product within the specified timeframe you may, within thirty (30) days, lodge a dispute notice with your Brokerage (refer to Online Support Centre or the dispute section in the Transaction Policy Trade Rules and Regulations). However you acknowledge it is not up to World Trade Exchange to resolve the dispute although World Trade Exchange may exercise its discretion according to the World Trade Exchange Transaction Policy Rules and Regulations. In order for a dispute to be lodged you must have made every effort to resolve the dispute on your own.
  • We may delete or refuse to list any or all goods and services at our discretion.
  • The listing may be edited in full by the seller up until the time it is sold or closed (including closing of the listing).
  • As defined in the members Equity Program, categories of business types are defined to promote equity and liquidity within the network. Although a member may increase the minimum trade percentage defined in the Equity Program. Unless otherwise negotiated directly with World Trade Exchange Regional Licensee, all items listed must comply with the Equity program defining the minimum % in World Trade Exchanges and are inclusive of all country taxes, including any Value Added Tax, Sales Tax and Goods and Services Tax etc, applicable upon the sale of an item within the seller's jurisdiction. The items will not be listed inclusive of any additional import/export taxes, levies, duties or other shipping taxes directly applicable due to the buyer being located in a different jurisdiction to that of the seller. It is up to the buyer and seller to negotiate the payment of these taxes, levies and duties between them. It is strongly recommended that the seller determines these costs before listing.

14 BUYERS OBLIGATIONS

Purchases are made by the buyer clicking “Add to Cart” then clicking “Checkout”. You as a Buyer acknowledge that purchases are irrevocable acceptances of the seller’s conditions; therefore a purchase once made is not retractable or able to be cancelled. Buyers are notified by email and/or online of posted purchases. It is your as buyer responsibility to directly contact the seller immediately after the confirmed purchase to organise to receive/pick up the goods within thirty (30) days nationallyand forty-five (45) days internationally. You will be deemed to have received the notification from the time that the notification is registered as having been sent to you by the World Trade Exchange system. If you as the buyer do not receive the product within the specified timeframe you may, within sixty ( 60) days, lodge a dispute with your Brokerage (refer to Online Support Centre or the dispute section in the Transaction Policy Trade Rules and Regulations). It is not up to World Trade Exchange to resolve such disputes. In order for a dispute to be lodged you must have made every effort to resolve the dispute on your own. As a buyer you agree and acknowledge:
  • The seller listed the goods inclusive of all country taxes, including any Value Added Tax, Sales Tax and Goods and Services Tax, applicable upon the sale of an item within the seller's jurisdiction.
  • The items may not be listed inclusive of any additional import/export taxes, levies, duties or other shipping taxes directly applicable due to the buyer being located in a different jurisdiction to that of the seller.
  • You are aware of the all applicable rules and will abide by them, including payment any applicable fees to World Trade Exchange.
  • As a buyer you warrant:
  • By making a purchase, you warrant and represent that you have the legal right to enter into and complete the transaction.
  • By making purchase, you warrant and represent that at the time of purchase you have sufficient funds available in your account and your account has not been suspended or subject to any other restriction which would prejudice your ability to make a purchase and are in all other respects in good standing.
  • You as buyer agree to pay the shipping cost if you place a purchase request where the seller has made it a condition of the sale.
  • You as a Buyer agree to negotiate and where relevant pay any additional import/export taxes, levies and duties.

15 DELAYED TRANSACTIONS

A delayed transaction occurs when the system is unable to process the transaction automatically, due to the buyer having Not Sufficient Funds (NSF) to cover the amount of the transactions, incorrect card number, account temporarily suspended from making sales/purchase, outstanding fees or any other reason that may prevent automated processing. Both parties, the Buyer and Seller, will receive email notification stating the transaction has been delayed and an outcome will be advised by World Trade Exchange in due course. No product should be sent prior to notification that the transaction has been processed. All transaction outcomes are advised by email. If the transaction has been processed the email will contain a transaction number. No product should be delivered or collected prior to the seller receiving notificationof the transaction (including the transaction number) via email. Please read your emails carefully to establish a transaction has been processed. In the event that you are unable to obtain your emails or a technical issue as resulted in your being unable to receive email, please check your Current Transaction Activity area of the website, or alternatively, contact your broker. World Trade Exchange does not accept responsibility for any transactions that are delayed and ultimately declined.

16 MEMBER RATINGS

World Trade Exchange operates a rating system whereby members may rate each other on a scale of 1-5 (5 being the highest) and leave comments. Ratings can be done on an ad-hoc basis and any member may view the ratings and comments left by another member. World Trade Exchange may, at its sole discretion, modify, edit or delete ratings and comments left by members. The Rating tab appears on every product, service or listing created by a member and is the consolidated rating (average) for that member.

17 OFFER AND ACCEPTANCE BETWEEN MEMBERS

Once a seller specifies the conditions of the sale and selects “Post Listing”, this constitutes an irrevocable offer to treat to the world at large. It is capable of acceptance by a buyer who clicks “Checkout”. Accordingly, buyers agree that pressing “Checkout” is an irrevocable acceptance of a seller’s offer and conditions. That is, it is not an offer to negotiate; it is now a legally binding commitment.

18 TRADE EXCHANGE RULES

  • Items available through the exchange should be offered at fair, prevailing, or standard market prices at 100% trade. Fair trade and prevailing prices are defined as the most commonly offered price for a product or service, whether it is being sold for cash or for trade, and should reflect current market values for that particular product or service.
  • Members must not overcharge and must provide other members with prices and terms at least as favourable as those provided to their customer base at large.
  • The default for all transactions is 100% trade. Transactions that are part cash/part trade must be preapproved in writing by World Trade Exchange.
  • In the event that a transaction is approved for part cash/part trade payment, we will charge the seller transaction fees on the gross amount of the transaction and the transaction fees for the cash portion of the transaction will appear on the seller’s monthly account statement as a charge for New Cash Business.
  • You must inform us immediately if another member requests cash instead of trade.
  • You must inform us immediately if another member refuses to provide a service or product such member has listed as available for trade (outside of their published restrictions).

19 TRADE CREDITS

The terms “Trade Credits”, “Trade Dollars” and “World Trade Exchange Credits” refer to the bookkeeping entry used by World Trade Exchange to record the value of every transaction made between its members and World Trade Exchange shall maintain an account of Trade Credits for each member. You acknowledge and agree:
  • Trade Creditsare not legal tender and have no value other than to enable members to make purchases from other members on a non-cash (or no more than 50% part cash) basis in accordance with these Terms. Under no circumstances shall World Trade Exchange be obliged to redeem Trade Creditsfor cash at any time. Trade Credits may be used only in the manner and for the purposes set forth in these Terms. Trade Credit may be converted to cash for selected members at the sole discretion of World Trade Exchange.
  • Possession of Trade Credits in a member’s account does not create an obligation by World Trade Exchange of any type and neither World Trade Exchange nor its members shall consider Trade Credits as legal tender, securities, or commodities. World Trade Exchange disclaims any and all responsibility for the negotiability of Trade Credits or for the availability of goods or services from any source. Trade Credits are solely the liability of the members who owe Trade Credits to the Exchange and are not the liability of World Trade Exchange.
  • A positive balance of Trade Credits in your account denotes the right to receive goods and services offered by other members willing to accept Trade Credits in payment for those goods and services.
  • A negative balance of Trade Credits denotes the obligation to sell goods or services to other members to the extent of that deficit in Trade Credits.
  • World Trade Exchange will credit to a member’s account in Trade Credits:
    • The value of each sale or supply made by that member through the Exchange in accordance with these Terms
    • Any other amounts as may be provided for in these Terms or as agreed between the member and World Trade Exchange
  • World Trade Exchange will debit from members’ accounts in Trade Credits:
    • The cost of each purchase made by that member through the Exchange
    • Any other amounts as may be provided for in these Terms or as agreed between a member and World Trade Exchange.

Terms for Trade Credits :

'By clicking the 'MAKE DEPOSIT', 'UPGRADE', 'SUBSCRIBE', 'PAY', 'BUY NOW', ORDER NOW' or "Pay with PayPal" button, you authorize World Trade Exchange Ltd to charge your PayPal account credits for use on WTE sites and accept the Terms for WTE Credits outlined below. You can change your payment method or auto-topup settings at any time in payment settings.
  • When you purchase or receive credits, you do not own the credits. Rather, you receive a limited right to use such credits for services on WTE such as PURCHASES, payments, gifts, etc.
  • Purchases of credits are non-refundable.
  • We may change the purchase price for credits at any time as well as the ways that you can use credits. We also reserve the right to stop issuing credits.
  • Credits are not redeemable for any sum of money or monetary value from us unless we agree otherwise in writing.
  • Unused credits expire after 6 month.
  • If you delete your account or if your account is terminated by WTE due to breach of the general WTE terms and conditions, you will lose any accumulated credits.

20 SHIPPING COSTS

The seller has the choice to list items with the following possible arrangements for shipping:

20.1 Buyer to Pay Shipping Costs:
It is the buyer’s responsibility to pay for the shipping either before or after delivery (as agreed to by both parties). It is the seller’s responsibility to package the goods appropriately and arrange for delivery of the goods to the buyer’s delivery address.
20.2 Seller to Pay Shipping Costs:
The seller is responsible for all aspects of delivery including packing and sending the item to the buyer’s delivery address.
20.3 Buyer to Pick Up:
It is the buyer’s responsibility to arrange for collection of the item from the seller’s delivery address either in person or by courier or by means agreed by buyer and seller. The seller is responsible for packing the goods appropriately.
20.4 See Item Description:
All aspects of delivery are clearly laid out within the listing, and the buyer accepts these.
20.5 Will Split Costs 50/50:
It is both parties’ responsibility to ensure that delivery is paid for. It is the seller’s responsibility to ensure that goods are packaged appropriately and are sent to the buyer’s delivery address.

21 RISK FOR LOSS OR DAMAGE TO GOODS

Risk for loss and damage to the goods passes to the buyer upon:
  • Dispatch by the seller if the buyer is responsible for delivery of the goods or pick up or collection, or.
  • Actual delivery to the buyer if the seller is responsible for delivery of the goods.
The parties should consider insuring the goods accordingly.

22 NO REFUNDS OF TRADE CREDITS AND ASSOCIATED CASH PAYMENTS FOR SERVICE FEES

World Trade Exchange does not provide refunds for shop listing fees, monthly subscription fees, purchase of trade credits or transaction fees on sales and purchases. All sales and purchases of Trade Credits and World Trade Exchanges services fees are final. Before making any payment, please these Terms carefully in order to evaluate our service and determine if they meet your requirements. Refunds for goods and services purchased from other members are subject to seller’s terms and any applicable laws within the relevant jurisdiction and World Trade Exchange, as simply the platform for such purchases. As stated above, World Trade Exchange helps members make and accept payments and facilitates exchanges. We are an independent contractor for all purposes, and are NOT your agent or trustee. We do NOT have control of, or liability for, the products or services that are exchanged between members. We do not guarantee the identity of any member or ensure that a buyer or a seller will complete any Exchange transaction.

23 REFUNDS FROM OR TO OTHER MEMBERS

We have the right, but are not obliged, to investigate any complaint from a member who claims to be entitled to a return or refund. Payments received in your account may be reversed at a later time, for example, if such a payment is subject to a chargeback, reversal, return, refund, claim or is otherwise invalidated. This means that for some of our sellers, payments received into their account may be returned to the buyer or otherwise removed from their account after they have been paid and/or delivered any goods or services sold.

24 ONLINE STATEMENTS

Online Statements is a facility to allow members access to view their current and archived World Trade Exchange statements. World Trade Exchange is not liable for any loss, damage or consequential loss or damage if you use or attempt to access Online Statements. We can suspend your access to Online Statements or any other function or service at any time. We do not guarantee Online Statements to be accurate or up-to-date and some or all of this information or its upkeep may be performed by external third parties. Any dispute of a line item in Online Statements must be lodged within forty-five (45) days of the statement date.

25 MOBILE PHONE BANKING REGISTRATION AND USE

The following conditions apply World Trade Exchange Mobile Transactions / Mobile Phone Banking:
  • Mobile Phone Banking is a facility that uses the World Trade Exchange program to conduct balance enquiries and transactions. In using this facility you acknowledge that messages are sent to and from your mobile telephone by third party carriers whose delivery and service are outside the control of World Trade Exchange.
  • You agree that you will be responsible for payment of fees incurred using Mobile Phone Banking including but not limited to:
    • Mobile Phone Banking fees,
    • Fees for the use of your own mobile phone company; and
    • Fees charged, if any, by the World Trade Exchange National Licensee.
  • You acknowledge and agree that you will be responsible for all direct charges billed by your telecommunications company for sending/receiving SMS messages connected with the service.
  • You acknowledge and agree that the licensee may charge a fee to members in its country as a charge in administering this service.
  • You acknowledge and agree that under no circumstances will companies in the World Trade Exchange group be liable for any telephone company or carrier of messages. Members may wish to check that sales have been processed by contacting their regional or national World Trade Exchange office or by going online.
  • While World Trade Exchange facilitates the Mobile Phone Banking facility we accept to no liability whatsoever for the use of the product or the business processes adopted regionally in a country by that country’s licensee.
  • In the event of any problems concerning the use of Mobile Phone Banking, interaction with other members or fees incurred, you will need to contact your National Country Licensee directly. World Trade Exchange members, therefore, must look to their National Licensee in respect of rights and obligations when using the Mobile Phone Banking facility.
  • In using the Mobile Phone Banking facility, members are advised to use no less precaution in their commercial dealings than they would if conducting a trade in any other environment or using any other transaction tools. Mobile Phone Banking processes offer no form of additional protection to users. This facility is offered as a benefit to members as a convenience only.
  • Sellers should maintain proof of sale by obtaining and retaining a signature from the Buyer or some other suitable proof.
  • Buyers should perform the same due diligence and care in purchasing goods or services by use of the Mobile Phone Banking facility as they would in any other transaction.
  • By selecting the ‘send’ button on the mobile phone or submitting the SMS in any other way, the seller acknowledges the consent of the buyer to transact funds and that proof of sale and consent can be provided in the event a transaction is disputed. The ‘send’ function is acceptance by the seller that the funds are being transacted and that this represents a bona fide transaction. The receipt of a confirmation transaction is not necessarily assured.
  • Transactions processed through Mobile Phone Banking are processed in part through an independent third party service provider to World Trade Exchange. World Trade Exchange accepts no responsibility for the delivery of service by independent third party service providers and disclaims liability to the maximum extent permitted by law.
  • Subject to any responsibilities implied by law and which cannot be excluded, no member of the World Trade Exchange Group is liable to you for any losses, damages, liabilities, claims and expenses (including, but not limited to, legal costs and defence or settlement costs) whatsoever arising out of, or referable to, material on the World Trade Exchange Web Site or to Third Party material, whether in contract, tort including negligence, statute or otherwise.
  • Mobile Phone Banking and all associated facilities, including SMS notifications, are only an electronic gateway to facilitate the transfer of funds and are not to be used as an invoice, receipt or statement etc. Seller is responsible for providing buyer with an invoice for the goods and or services they provided.

26 SPECIAL NOTICE FOR CREDIT CARD PAYMENTS

Payments made through the “Pay My Fees” system, are processed through an independent third party service provider to World Trade Exchange. World Trade Exchange disclaims liability for the delivery of service by independent third party service providers to the maximum extent permitted by law.World Trade Exchange provides no warranty and give no endorsement in respect of such services or any party connected with them. We do, however, welcome your feedback or suggestions concerning these services. The amount of cash fees due and payable is calculating based on current month Opening Cash Balance less current month Payments and may be impacted by prepayments, chargebacks, reversals and so on. Whilst your credit card may be charged, payments made by credit card may not be immediately deducted from the either the amount shown under “Cash Fees Due & Payable” and may have been deducted from this total. This may be due to data transfer issues, date in the month or infrastructure issues. Payments will generally be deducted from the amount shown on the next working day. We are not responsible for errors made in authorizing deduction against your credit card. If an error is made, contact your local World Trade Exchange Licensee or the National Licensee at support@24hoursalesplatform.com in your country. It is your responsibility to check your statement to ensure that the amount being displayed as Cash Fees Due and Payable and the amount being authorized for payment are in accordance with the amount being paid. It is your responsibility to ensure that the details are correct when completing a credit card payment.

27 OPERATIONS AND BAD DEBT RESERVE FUND

AnOperations and Bad Debt Reserve Fund (“Fund”) shall be maintained to cover the expenses of administering Exchange operations and the bad debts for which members are collectively liable. World Trade Exchange Credits making up the Fund shall accrue from:
  • charges to member accounts for this purpose
  • fees on World Trade Exchange Credit loans
  • positive balances abandoned or surrendered by former members in accordance with this Agreement, and
  • collections of charged-off accounts.
All funds in this account shall be the equal and joint property of the members of the Exchange. You grant to World Trade Exchange the right and power to assess a reasonable service fee for its administration of Exchange operations, which assessment, if made, shall be paid from the Fund on a schedule determined by World Trade Exchange.

27 OPERATIONS AND BAD DEBT RESERVE FUND

AnOperations and Bad Debt Reserve Fund (“Fund”) shall be maintained to cover the expenses of administering Exchange operations and the bad debts for which members are collectively liable. World Trade Exchange Credits making up the Fund shall accrue from:
  • charges to member accounts for this purpose
  • fees on World Trade Exchange Credit loans
  • positive balances abandoned or surrendered by former members in accordance with this Agreement, and
  • collections of charged-off accounts.
All funds in this account shall be the equal and joint property of the members of the Exchange. You grant to World Trade Exchange the right and power to assess a reasonable service fee for its administration of Exchange operations, which assessment, if made, shall be paid from the Fund on a schedule determined by World Trade Exchange.

28 EXTENSIONS OF CREDIT

You acknowledge and agree World Trade Exchange has the right to make extensions of Trade Credits in credit, either in the form of loans or lines of credit, to any member on terms and conditions consistent with that member’s credit worthiness and ability to repay or generate sales within the Exchange. You acknowledge and agree World Trade Exchange has the right and power to administer credit services, and to charge reasonable fees for this service and that all extensions of credit in Trade Credits are at the sole discretion of World Trade Exchange. Members wishing to apply for credit may be required to submit a loan application, financial statement, credit agreements, promissory note, personal guarantee, provide collateral or to prepay cash service fees prior to approval. World Trade Exchange is under no obligation to extend credit at any time. World Trade Exchange reserves the right to change a member’s credit limit without notice.

29 ABANDONED ACCOUNTS

If a member elects not to remain in good standing and has not entered into a buy or sell transaction for twelve (12) months, World Trade Exchange may, at its sole discretion, consider the account abandoned and allocate any positive balance to the Operations and Bad Debt Reserve Fund for either collection by that member should their account standing be rectified or allocation towards bad debts created by other members of the Exchange.

30 ALLOCATION OF GOODS AND SERVICES

You acknowledge and agree World Trade Exchange may, at its sole discretion, regulate the allocation of any goods or services deemed in short supply. Certain accounts are primarily or solely for the use of World Trade Exchange, its principals or employees. World Trade Exchange acknowledges that with respect to the operation of such accounts, it is bound by these Terms in the same manner as any other member.

31 WE PARTICIPATE IN THE EXCHANGE

World Trade Exchange is a member and can enter into Transactions as a principal. Where World Trade Exchange sells goods through the Exchange it does so on the basis that it makes no warranty regarding those goods, except that it owns them or is selling those goods on behalf of another supplier. World Trade Exchange excludes any implied warranties to the fullest extent of the law in respect of any such sale.

32 RIGHT TO REGULATE AND BORROW

You acknowledge and agree World Trade Exchange has the right to regulate and control the number of World Trade Exchange Credits within the Exchange and that World Trade Exchange the right to borrow from the Exchange at its sole discretion.

33 THIRD PARTIES AND EXTERNAL LINKS

You acknowledge and agree World Trade Exchange has the right to regulate and control the number of World Trade Exchange Credits within the Exchange and that World Trade Exchange the right to borrow from the Exchange at its sole discretion.

33.1 Third Party Suppliers:

You agree that your dealings with third parties found on or through the Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the third party supplier, and you agree not to hold World Trade Exchange liable for any disputes you may have with such third party supplier.

  • We are not responsible for any loss whatsoever that a member may suffer including but not limited to economic loss in the event a transaction is not processed due to any case whatsoever, including but not limited to, technical difficulties affecting our system or a scheduled outage.
  • We are not responsible for any loss whatsoever a member may suffer including, but not limited to, economic loss, for reliance on Support Centre content, guidelines or comments from World Trade Exchange staff.

41 LIMITATIONS OF LIABILITY

You may not assert claims for money damages arising from this Site or its contents. We and our suppliers shall not be liable for any indirect, special, incidental, consequential or exemplary damages, even if we knew or should have known of the possibility of such damages. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability, and the liability of our company and suppliers, shall be limited to the extent permitted by law.

42 YOUR REPRESENTATIONS AND WARRANTIES

You represent and warrant to us that:
  • This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms.
  • You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement, without the approval or consent of any other party.
  • You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.
  • All information you supply to us in connection with your use of our services is true and complete in all material respects and will be kept up to date if it changes.

43 INDEMNIFICATION

You agree to indemnify and hold harmless 24hoursalesplatform.com and its employees, representatives, agents, and affiliates, against any and all claims, suits, actions, or other proceedings brought against them based on or arising from any claim resulting from a failure by any other party to a transaction to complete a sale or satisfy the requirements of a sale, or your breach of this Agreement, your violation of any law or third party right, any claim that use of our services has harmed a third party, your use of the Site, the Services or your data. You will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys' fees and costs awarded against or otherwise incurred by us in connection with or arising from any such claim, suit, action, or proceeding. 24hoursalesplatform.com reserves the right, in its sole discretion and at its own expense, to assume the exclusive defence and control of any claims. You agree to reasonably cooperate as requested by 24hoursalesplatform.com in the defence of any claims.

44 AWARD CURRENCY

Any sums which may be awarded to World Trade Exchange under this Agreement shall be in US dollars (USD) and not in World Trade Exchange Credits.

45 SPECIFIC WARNINGS

  • You acknowledge that World Trade Exchange as the provider of the Site and services may elect to transfer and/or subcontract the management rights or any part or all of the provision of the Site or services to a third party, without notice being sent to you.
  • We are not obliged to notify you of cancellation. If we do notify you we are not obliged to state any reason for your cancellation.
  • World Trade Exchange retains its discretionary power to reverse or prohibit any transaction in its sole discretion.
  • If we reverse a transaction whether for your default under these Terms or the default of the World Trade Exchange Licensee in your country of membership or in exercise of our general discretion then we may also require that you pay for the delivery of the goods back to you or the other party (as applicable).
  • You acknowledge that a failure to comply with these Terms entitles us to suspend and/or terminate your membership and/or account.

46 ACCOUNT TERMINATION

World Trade Exchange reserves the right, in our absolute discretion, to terminate your access to all or part of the Site or Services without notice. Upon such terminationyou will be denied access to any Trade Credits, information or files you have stored on the Site.

46.1 Termination for Default:

World Trade Exchange may immediately suspend or terminate a membership for reasons including, but not limited to, if:
  • The member is not complying with Terms or policies of World Trade Exchange.
  • World Trade Exchange has received two (2) or more complaints against that member for poor performance.
  • The member is thirty (30) days or more past due with their outstanding cash fees.
  • The member is in receivership or liquidation.
  • The member is subject to any credit recovery actions by other third parties.
  • The member is selling their goods or services to other members at prices in excess of their normal cash price.
  • The member has defrauded or attempted to defraud another members of the Exchange or World Trade Exchange.

47 TERMINATION OR CANCELLATION BY MEMBER

A Member may terminate their membership by giving 30 working days written notice to World Trade Exchange.

48 EFFECTS OF TERMINATION

In the event of termination:
  • Any cash and service fees outstanding become due and payable. No service fees will be refunded.
  • Any member with a negative account balance (for example, if incurred because purchases exceed sales) must balance their account with Trade Credits within one (1) month of termination date. After said one month period, Member must immediately pay World Trade Exchange any remaining negative balance in cash.
  • Any member with a positive account balance (for example, earned because sales exceed purchases) may spend their positive balance after pre-paying World Trade Exchange the cash service fees on the positive balance. After payment of fees, World Trade Exchange Gift certificates or script will be issued to member to facilitate clearance of their remaining positive balance.
  • All unused World Trade Exchange transaction materials, World Trade Exchange ID cards, member directories and any other World Trade Exchange documents must be returned immediately upon termination.

49 DRAFTS /GIFT CERTIFICATES

Member shall not give or receive a World Trade Exchange gift certificate, Trade Credit script, or other World Trade Exchange transaction material with thebuyer's name or seller’s name left blank or receive a third-party World Trade Exchange gift certificate, script, or other World Trade Exchange transaction material as payment. Such transactions may result in suspension of transaction privileges or termination of member's account.

50 SPEND OUT / CANCELLATION

If World Trade Exchange reasonably believes that a member is spending out its account balance in anticipation of cancelling future participation in World Trade Exchange, or a member has requested termination, then World Trade Exchange shall require the prepayment of cash service fees on the remaining balance held in member’s account.

51 SECURITY INTEREST, INSOLVENCY

You hereby grant World Trade Exchange a security interest in all Trade Credits in your account for the amount of all and any of your unpaid cash fees. If you become insolvent or bankrupt all cash fees shall be due and payable in full. World Trade Exchange shall have the option, in lieu of filing as a creditor, of treating your Trade Credit balance as equal in value to the amount of cash fees owing and may terminate or freeze your account.

52 CURRENCY AND EXCHANGE RATES

World Trade Exchange is an international platform. Items are listed in the currency of the seller. Currency is denoted by the country’s currency symbol or three letters before the T symbol, that is:

53 CONFIDENTIALITY AND NON-DISCLOSURE

53.1 Meaning of Confidential Information:

Confidential Informationmeans all World Trade Exchange confidential, non-public or proprietary information regardless of how the information is stored or delivered, exchanged between the Parties before, on or after the date of this Agreement relating to the business, technology or other affairs of World Trade Exchange. It includes information which is marked “Confidential”, which is by its nature confidential or which the receiving party knows or ought to know is confidential.

53.2 Disclosure of Confidential Information:

No Confidential Information may be disclosed by you to any person except: (a) Your representatives where they require the information for the purposes of this Agreement; or (b) With our written consent, which consent may be given or withheld in our absolute discretion; or (c) If you are required to do so by law or in connection with legal proceedings relating to this Agreement.

53.3 Use of Confidential Information:

You must not use Confidential Information received under this Agreement other than for the purposes of exercising your rights or performing your obligations under this Agreement.

54 JURISDICTION LIMITATIONS

As some jurisdictions do not allow some of the exclusions or limitations as established above, some of these exclusions or limitations may not apply to you. In that event, the liability will be limited as far as legally possible under the applicable legislation.

55 INTERNATIONAL USE

We make no representation that content on this Site is appropriate or available for use in locations outside the United States. If you choose to access this Site from a location outside the United States, you do so on your own initiative and you are responsible for compliance with local laws.Where the buyer and seller are from different jurisdictions, World Trade Exchange may, at its sole discretion, arbitrate a dispute between the buyer and seller according to international commercial norms and best practice.

56 ELECTONIC SIGNATURES

You agree World Trade Exchange may accept a faxed or industry standard electronic signature as a binding legal signature.

57 DISSOLUTION

A negative balance of Trade Credits in a member’s account indicates a debt owed by that member. In the event the 24hoursalesplatform.com Site terminates or otherwise ceases to operate, all registered members with a negative balance of Trade Credits will repay the amount they owe using their local currency on a one unit of local currency per one trade credit basis. Such amounts are to be paid into a fund (to be designated at that time) and such fund, less bona fide expense, will be distributed pro rata to all members who hold a positive balance of Trade Credits. World Trade Exchange LLC, its officers, employees, agents and authorized entities (including the World Trade Exchange Site and its officers, employees, licensees and agents of any controlled subsidiary) are not liable to any members for cash or Trade Credits beyond the distribution of such funds, except as provided in these Terms.

58 VIOLATIONS

World Trade Exchange has the right, but not the obligation, to inquire into complaints of any violations of these terms or other policy by a member. You acknowledge and agree World Trade Exchange may arbitrate and act at its sole discretion to investigate and settle violations of its policies. Violations may result in termination of member's account and/or immediate adjustment to the transactions involved. If any member fails to buy from, and sell to, other members in good standing in accordance with the World Trade Exchange published policies, that member will be in material breach and may have their membership terminated immediately or their account frozen without notice. At its sole discretion, World Trade Exchange may also reinstate members or unfreeze members’ accounts.

59 GENERAL PROVISIONS

59.1 Entire Agreement:

This Agreement incorporates by reference our Privacy Policy and the policies listed in the FAQ section and the World Trade Exchange Solutions Guide which collectively with this Agreement contain the entire understanding between the Parties and supersede all prior representations, agreements, statement and understandings, either verbal or in writing.

59.2 Governing Law:

You agree that the laws of the state ofDelaware US and US federal law govern these terms of use, its subject matter, your use of the Site, and any claim or dispute that you may have against us, without regard to its conflict of laws rules, and that the United Nations Convention on Contracts for the International Sale of Goods shall have no applicability.

59.3 Relationship of Parties:

Parties are independent contractors and neither Party’s employees will be considered employees of the other Party for any purpose. This Agreement does not create a joint venture or partnership, and neither Party has the authority to bind the other to any third party.

59.4 Assignment

You may not assign your rights or obligations under this Agreement to any party, and any attempt to do so will be void and without effect. We are free to assign this Agreement.This Agreement shall inure to the benefit of, and shall be binding upon the respective successors, beneficiaries and heirs of the parties.

59.5 Amendment:

You may not amend or waive any provision of this Agreement unless in writing and signed by both Parties.

59.6 Titles and Headings:

Titles and headings are inserted in this Agreement for reference purposes only, and must not be used to interpret the Agreement.

59.7 Communication and Notices:

You consent to receive notices and information from us in respect of our Site and Services by electronic communication. You may withdraw this consent at any time, but if you do so we may choose to suspend or close your account. We may provide you with notices, including those regarding changes to these terms by email, paper mail, publication on our Site, by SMS, or in any other way recognised by law. 59.8 Waiver:

Our failure to exercise or enforce any right or provision of these terms is not a waiver of such right or provision.

59.9 Severability:

If any provision is found by a court of competent jurisdiction to be invalid, the parties agree that the court must as far as possible give effect to the parties’ intentions as reflected in it, and these terms otherwise remain in full force and effect.

59.10 Subcontracting and Outsourcing:

We will solely determine how to operate our systems and provide Services. We may subcontract or outsource any function as we see fit.

59.11 Compliance with Laws:

In using the Services, you must comply with all applicable laws and regulations and, without limitation you must not use Services (or allow them to be used) in connection with or in furtherance of any fraudulent scheme or purpose.

59.12 Law Enforcement:

You authorise us to provide any information or comply with any request in relation to you or your account that is requested by any government, court or law enforcement agency. We are not obliged to verify or validate the identity or authority of any such government, court or law enforcement agency if it appears to us, acting in good faith, to be legitimate.
